1Agreement to these Terms
These Terms of Service (the “Terms”) are a binding agreement between you and Guided Business Intelligence LLC, an Arkansas limited liability company (“GBI,” “we,” “us,” or “our”), governing your access to and use of the PIRP platform, websites, applications, and related services (collectively, the “Service”).
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Service.
2What PIRP is
PIRP is a guided business intelligence and coaching platform for small-business owners. The Service presents financial metrics, benchmarks, scenario projections, daily coaching prompts, and related informational content drawn from data you provide or that you authorize us to access from connected third-party systems.
PIRP is an informational and educational tool. It is not an accountant, tax preparer, auditor, attorney, broker, investment adviser, or fiduciary, and it does not provide accounting, tax, legal, investment, or other professional advice. See Section 7.
3Eligibility and your account
- You must be at least 18 years old and able to form a binding contract.
- You agree to provide accurate account information and to keep it current.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- You agree to notify us promptly at team@pirp.app of any unauthorized use.
4Subscriptions, billing, and Jet Card miles
Plans and pricing
The Service is offered as a subscription for each business. The price, and the features and Jet Card miles included, are presented in the Service at the time of purchase. You choose monthly or annual billing, and either way you are billed in advance for the term you choose. Additional crew seats, bank and card connections beyond those included in your plan, and additional Jet Card miles are charged as shown in the Service before you buy them. We may change pricing or plan features on a going-forward basis; changes will not affect a term already paid, and we will notify you at least 30 days before a price change applies to your renewal.
Payment and renewal
Subscriptions are billed in advance through our third-party payment processor, Stripe, and renew automatically at the end of each monthly or annual term until canceled. By subscribing, you authorize recurring charges to your payment method. You may cancel at any time through your account settings; cancellation takes effect at the end of the current paid term, and you keep access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for the unused part of a term.
Jet Card miles
Certain features consume “Jet Card” miles, a non-monetary, in-product usage unit. Miles have no cash value, are not redeemable for cash, and are non-transferable. Your plan includes a monthly grant of miles; unused granted miles expire at the end of each month and do not roll over. Miles you purchase, and miles you earn by using the Service, carry over and do not expire with the monthly grant. We may adjust mile grants, earn rates, and feature costs over time, and we show the cost of a feature before you spend miles on it.
5Connected third-party data and integrations
PIRP lets you connect third-party accounting systems so the Service can read your financial data. When you connect Intuit QuickBooks Online, you authorize PIRP to access your QuickBooks Online company data on a read-only basis through Intuit’s official application programming interfaces, solely to provide the Service to you.
- PIRP requests read-only access. PIRP does not write to, modify, or delete your QuickBooks Online data, and PIRP never moves money or initiates transactions.
- Authentication uses OAuth 2.0. We store access and refresh tokens in encrypted form and never expose them to other users.
- You may disconnect a connected accounting system at any time from your account settings, which revokes PIRP’s ongoing access.
- Your use of QuickBooks Online remains governed by your agreement with Intuit. Intuit is not a party to these Terms and is not responsible for the Service.
Trademarks and non-affiliation. Intuit, QuickBooks, and QuickBooks Online are trademarks of Intuit Inc., used here for identification only. PIRP and Guided Business Intelligence LLC are independent and are not affiliated with, endorsed by, sponsored by, or certified by Intuit Inc.
Google integrations. PIRP also lets you connect Google accounts you control — Google Analytics, Google Business Profile, and Google Ads — on a read-only basis through Google’s official APIs and OAuth 2.0, solely to provide the Service to you. PIRP does not post, edit, or reply to reviews, and does not create, modify, pause, or optimize advertising campaigns. You may disconnect at any time from your account settings or at myaccount.google.com/permissions. Your use of Google services remains governed by your agreement with Google. Google is not a party to these Terms and is not responsible for the Service. Google, Google Analytics, Google Business Profile, and Google Ads are trademarks of Google LLC, used here for identification only; PIRP and Guided Business Intelligence LLC are independent and are not affiliated with, endorsed by, sponsored by, or certified by Google LLC.
Bank and card accounts. PIRP lets you connect bank and credit card accounts through Plaid Inc. (“Plaid”). Connect only accounts your business owns or is authorized to use; by connecting an account, you confirm you have that authority. PIRP receives account information, balances, transactions, and card details (such as balance, interest rate, and due date) on a read-only basis and never moves money. You sign in to your bank through Plaid, and PIRP never receives your bank credentials. By connecting an account, you also agree that Plaid may collect your account data and share it with PIRP as described in the Plaid End User Privacy Policy. You may disconnect a bank or card account at any time from your account settings, which removes the connection at Plaid. Plaid is not a party to these Terms and is not responsible for the Service.
6AI-generated content
Parts of the Service generate briefings, summaries, scenarios, and coaching prompts using automated systems, including third-party artificial-intelligence models. AI-generated output can be incomplete, inaccurate, or outdated, and may not reflect your full circumstances. You are responsible for reviewing such output and for any decisions you make. Do not rely on AI-generated output as a substitute for professional judgment or for verifying your own records.
7No professional advice
All content in the Service — including metrics, benchmarks, wealth-gap analyses and other value estimates, reserve estimates, forecasts, scenario projections, and coaching — is provided for general informational and educational purposes only and does not constitute accounting, tax, legal, financial, investment, or other professional advice, and creates no professional or fiduciary relationship. Estimates and projections are inherently uncertain and are not guarantees of any outcome. You should consult a qualified professional (such as a licensed accountant, tax adviser, or attorney) before making decisions based on the Service.
8Acceptable use
You agree not to:
- use the Service in violation of any law or third-party right, or to submit data you lack the right to submit;
- access or attempt to access another customer’s data or any non-public part of the Service;
- reverse engineer, scrape, overload, disrupt, or probe the Service or its security;
- resell, sublicense, or provide the Service to third parties except as expressly permitted; or
- upload malware or use the Service to build a competing product.
9Intellectual property and license
The Service, including its software, design, brand, aviation-themed terminology, curriculum, and content (excluding your data), is owned by GBI and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. We reserve all rights not expressly granted.
10Your data
You retain ownership of the financial and business data you provide or connect (“Your Data”). You grant GBI a license to host, process, and use Your Data to operate, secure, support, and improve the Service, and as otherwise described in our Privacy Policy. We may use aggregated and de-identified data that does not identify you or your business. Reports, briefings, packages, and other output the Service produces from Your Data are yours to use for your business. We do not use Your Data to train artificial-intelligence models. We implement reasonable technical and organizational safeguards, including encryption of connection tokens and tenant isolation, but no method of transmission or storage is completely secure.
11Third-party services
The Service relies on third-party providers, including Intuit (QuickBooks Online), Google (Analytics, Business Profile, and Ads), Jobber, Plaid (bank and card connections), Stripe (payments), and AI-model providers. Your use of those services may be subject to their own terms, and we are not responsible for third-party services or for outages or changes outside our control.
12Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any metric, estimate, or projection will be accurate or achieve any result. You acknowledge that the Service is offered as an early-access product that is still being developed and refined, that features may change or be temporarily unavailable, and that you use the Service at your own risk.
13Limitation of liability
To the maximum extent permitted by law, GBI and its members, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility. In all cases, GBI’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to GBI for the Service in the three (3) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14Indemnification
You agree to indemnify and hold harmless GBI and its members, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Service, your violation of these Terms, your violation of any law, or Your Data.
15Term and termination
These Terms apply while you use the Service. You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, if required for security or legal reasons, or upon reasonable notice for any reason. Upon termination, your license ends; provisions that by their nature should survive (including Sections 7, 9, 12–14, 16, and 17) will survive. We will handle Your Data after termination as described in the Privacy Policy.
16Changes to the Service and to these Terms
We may modify the Service and may update these Terms from time to time. If we make material changes, we will update the “Effective” date above and, where appropriate, provide additional notice or ask you to accept the revised Terms in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
17Governing law and disputes
These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-laws rules. The parties agree to first attempt to resolve any dispute informally by contacting team@pirp.app. Any dispute not resolved informally will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Benton County, Arkansas, and you consent to personal jurisdiction there.
